Conforme lo establece el art\u00edculo 181 de la Ley General de Sociedades Mercantiles, las sociedades mercantiles mexicanas, como parte de su cumplimiento legal corporativo, deben celebrar una Asamblea Ordinaria Anual de Accionistas \/ Socios dentro de los cuatro meses que sigan a la clausura del ejercicio social y se ocupar\u00e1, adem\u00e1s de los asuntos incluidos en la orden del d\u00eda, de los siguientes: \u00a0<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t
  1. Discutir, aprobar o modificar el informe de los administradores. Para el caso de las Sociedades An\u00f3nimas, espec\u00edficamente lo que se refiere el enunciado general del art\u00edculo 172 de la Ley General de Sociedades Mercantiles, tomando en cuenta el informe de los comisarios, y tomar las medidas que juzgue oportunas.<\/li>
  2. En su caso, nombrar al Administrador o Consejo de Administraci\u00f3n y a los Comisarios o Consejo de Vigilancia.<\/li>
  3. Determinar los emolumentos correspondientes a los Administradores y Comisarios o Consejo de Vigilancia, cuando no hayan sido fijados en los estatutos.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    Esta Asamblea Ordinaria Anual es importante puesto que se revisa la marcha y operatividad de la sociedad, as\u00ed como su situaci\u00f3n financiera y, permite a los accionistas\/socios discutir asuntos y tomar decisiones de inter\u00e9s com\u00fan para la continuidad de la sociedad. \u00a0<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    Es importante recordar que todo Acta de Asamblea debe quedar asentada en el Libro de Actas de Asamblea que para tal efecto lleve la Sociedad.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    As established in article 181 of the General Law of Commercial Companies, Mexican commercial companies, as part of their corporate legal compliance, must hold an Annual Ordinary Shareholders \/ Partners Meeting within the four months following the closing of the fiscal year and approve, in addition to the matters included in the agenda, the following:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    \n\t\t\t\t\t\t\t\t\t
    1. Discuss, approve or modify the administrators’ report. In the case of Sociedad An\u00f3nima, specifically what is referred to in the general statement of article 172 of the General Law of Commercial Companies taking into account the report of the Statutory Auditors, and taking the measures it deems appropriate.<\/li>
    2. If applicable, appoint the Administrator or Board of Directors and the Commissioners or Supervisory Board.<\/li>
    3. Determine the emoluments corresponding to the Administrators and Statutory Auditor or the Supervisory Board, when they have not been established in the bylaws.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
