Federaci\u00f3n diversas disposiciones que reforman los art\u00edculos 81, segundo p\u00e1rrafo; 186 y 194, primer p\u00e1rrafo y se adiciona una fracci\u00f3n (XIV) al art\u00edculo 6; un p\u00e1rrafo segundo al art\u00edculo 75; los p\u00e1rrafos segundo y tercero al art\u00edculo 80; un p\u00e1rrafo tercero al art\u00edculo 82; un p\u00e1rrafo quinto al art\u00edculo 143; un tercer p\u00e1rrafo al art\u00edculo 178; los p\u00e1rrafos segundo, tercero y cuarto al art\u00edculo 179 de la Ley General de Sociedades Mercantiles.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7a4370f4 elementor-widget elementor-widget-text-editor\" data-id=\"7a4370f4\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>El prop\u00f3sito de estas reformas busca poner a la vanguardia los instrumentos jur\u00eddicos y brindar certeza jur\u00eddica a las personas morales para la celebraci\u00f3n de los actos jur\u00eddicos, a trav\u00e9s de sus accionistas o de su administraci\u00f3n.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7b590d4 elementor-widget elementor-widget-text-editor\" data-id=\"7b590d4\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><!-- \/wp:paragraph --><!-- wp:paragraph --><\/p>\n<p><!-- \/wp:paragraph --><!-- wp:paragraph --><\/p>\n<p>Lo cierto es que esta era una reforma marcada como pendiente desde hace varios a\u00f1os y que ya hab\u00eda arrancado con importantes antecedentes desde la reforma al C\u00f3digo de Comercio en 2016 permitiendo a las sociedades llevar de manera electr\u00f3nica sus libros de actas; la interpretaci\u00f3n y aplicaci\u00f3n de firmas electr\u00f3nicas y firmas electr\u00f3nicas avanzadas as\u00ed como las adiciones a la Ley General de Sociedades Mercantiles para las constituciones de Sociedades An\u00f3nimas Simplificadas (S.A.S.).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5becd77b elementor-widget elementor-widget-text-editor\" data-id=\"5becd77b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>La pandemia por COVID-19 vino a reflejar una necesidad marcada y ya implementada en actos como lo son la celebraci\u00f3n de contratos mediante firma electr\u00f3nica o firma electr\u00f3nica avanzada, as\u00ed como la interpretaci\u00f3n y como fuente v\u00e1lida de obligaciones han permitido realizar operaciones comerciales entre personas que se encuentran en distintos lugares y que obstaculiza el perfeccionamiento del acto jur\u00eddico mediante la firma aut\u00f3grafa como en recientes a\u00f1os la Suprema Corte de Justicia de la Naci\u00f3n se ha pronunciado.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-43e37a5f elementor-widget elementor-widget-text-editor\" data-id=\"43e37a5f\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Ahora bien, tenemos diversas disposiciones que se\u00f1alan la reforma de 10 (diez) art\u00edculos a la Ley General de Sociedades Mercantiles donde se se\u00f1ala la implementaci\u00f3n (necesaria) de las normas para brindar seguridad y certeza jur\u00eddica a trav\u00e9s de medios electr\u00f3nicos, \u00f3pticos o de cualquier otra tecnolog\u00eda que permitan la participaci\u00f3n de la totalidad de los asistentes por dichos medios.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-23c9045d elementor-widget elementor-widget-text-editor\" data-id=\"23c9045d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Lo cierto es que, si bien esto significa un paso enorme para la legislaci\u00f3n mercantil, tambi\u00e9n lo es un reto para determinar, \u00bfQu\u00e9 medios de tecnolog\u00eda es suficiente para brindar certeza y seguridad jur\u00eddica a los accionistas para celebrar asambleas digitales?, \u00bfla no implementaci\u00f3n de esta norma a nuestros estatutos sociales permitir\u00e1 su celebraci\u00f3n aun con unanimidad?<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-664e48d elementor-widget elementor-widget-text-editor\" data-id=\"664e48d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Varios factores vienen a la mesa como pueden ser la celebraci\u00f3n de asambleas mixtas, esto es, donde haya accionistas presenciales y virtuales, \u00bfC\u00f3mo el secretario puede certificar la participaci\u00f3n de los asistentes? Its launch began with important backgrounds such as the amendment to the Code of Commerce as of 2016 permitting the companies to carry their corporate books electronically; the interpretation and execution of electronic signatures and advance electronic signatures as well as the additions to the General Law of Mercantile Corporations for the constitution of Anonymous Simplified Companies (S.A.S.).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e02194d elementor-widget elementor-widget-text-editor\" data-id=\"e02194d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Global pandemic COVID-19 came to reflect a marked necessity and, in some cases the already application of legal acts such as the execution of civil contracts through electronic signature or advance electronic signature as the primary source of legal obligations that have permitted (as of today) the execution of commercial activities between persons that are located in different places and, until some years ago, unable the perfection of the legal act due the necessity of a ink signature. The National Supreme Justice has pronounced already on this.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3ef1ee99 elementor-widget elementor-widget-text-editor\" data-id=\"3ef1ee99\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Now, we have different dispositions that mark the amendment of 10 (ten) articles to the General Law of Mercantile Corporations where points the implementation (imperative) of the rules to provide through electronic, optical or any other technology devices the participation of the totality of the attendees that decide to use choose this option.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1530f4cf elementor-widget elementor-widget-text-editor\" data-id=\"1530f4cf\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Although this is a huge step forward to the commercial legislation it is a challenge as well, what technology device is sufficient to provide legal certainty and security to the shareholders to execute digital meetings? the decision to not implement these amendments to our social bylaws shall permit its execution even with unanimous vote?<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1449758 elementor-widget elementor-widget-text-editor\" data-id=\"1449758\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Many factors come to the table such as the execution of mixed meetings, this is, where presential and absent shareholders decide to celebrate a meeting, how can the secretary validate and ensure the participation of the attendees? Likewise, how can we provide legal certainty when the federal amendments permit that the consent can be reflected digital?<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-00c0eb9 elementor-widget elementor-widget-text-editor\" data-id=\"00c0eb9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Undoubtedly, the deep review to the social bylaws as in the best interests of the shareholders shall be something to monitor closely due it seems that this new figure can be confused to an already exist and used figure since 1992 through the unanimous resolutions taken out of shareholders meeting, however, the key and tools to consider is that digital meetings shall permit that, through simple majority, standardizing a physical shareholders meeting in the social address,
