Modificación a las Reglas de Carácter General a que se refiere la Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita (“LFPIORPI”)

Amendment to the General Rules Referred to in the Federal Law for the Prevention and Identification of Transactions Involving Illicit Funds (the “LFPIORPI”)

El 07 de agosto de 2026 se publicó el acuerdo por el que se modifican las Reglas de Carácter General a que se refiere la Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita (“LFPIORPI”), aplicables a quienes realizan Actividades Vulnerables. La modificación aborda detalles sobre las obligaciones nuevas plasmadas en la reforma a la LFPIORPI que entró en vigor el 17 de julio de 2025 y amplía de manera significativa las cargas de cumplimiento, siendo relevantes las siguientes:

ENFOQUE BASADO EN RIESGOS

Se incorpora un capítulo completo que obliga a diseñar e implementar una metodología propia para evaluar el Riesgo de la actividad, de los Clientes o Usuarias, de las transacciones y de los canales de distribución, la cual deberá tener una revisión periódica obligatoria.

  • Clasificación del Grado de Riesgo: Los sujetos obligados deberán clasificar a sus Clientes o Usuarias en, al menos, Riesgo bajo, medio y alto, y deberán llevar a cabo la evaluación del Grado de Riesgo al menos cada seis meses.
  • Aplica antes de lanzar productos o servicios nuevos: toda nueva modalidad, canal o tipo de Cliente debe evaluarse en Riesgo antes de ponerse en marcha.

CONOCIMIENTO DE LA PERSONA CLIENTE O USUARIA

Quienes realicen Actividades Vulnerables estarán obligadas a elaborar y observar una política de conocimiento de sus Clientes o Usuarias, considerar el Perfil Transaccional, lo cual deberá evaluarse al menos cada seis meses e implementar un sistema de alertas que permita el seguimiento y detección de cambios en el Perfil Transaccional.

  • Se implementan medidas reforzadas de monitoreo para clientes de alto riesgo y Personas Políticamente Expuestas (PEP).

BENEFICIARIO CONTROLADOR

La reforma dedica un capítulo específico a la identificación del Beneficiario Controlador, con un orden de prelación obligatorio y reglas puntuales para fideicomisos y estructuras jurídicas.

  • Orden de prelación de tres niveles: (i) persona física con 25% o más del capital social; (ii) persona física con control por otros medios vinculado a la dirección y toma de decisiones; (iii) persona física o grupo de personas que ocupa la posición de funcionario administrativo de mayor grado o de alta dirección.
  • Debe documentarse el procedimiento seguido para la identificación, conservar la información, documentación y registros que la sustenten, mantenerlos actualizados durante la vigencia de la Relación de negocios y resguardarlos.

MECANISMOS AUTOMATIZADOS

Se define con mayor precisión qué funciones deben cubrir. Debe ser verificable ante el SAT y la UIF, no basta con tener el mecanismo implementado; su funcionamiento y trazabilidad deben poder acreditarse documentalmente en cualquier momento, así como contar con funciones mínimas obligatorias plasmadas en las reglas.

AUDITORÍA

Deberán mantenerse medidas de control que incluyan la revisión de un auditor, ya sea de su área de auditoría interna o de un auditor externo independiente.

Dictamen anual: el auditor evaluará y dictaminará, respecto del periodo comprendido del primero de enero al treinta y uno de diciembre de cada año, la efectividad del cumplimiento de la Ley, su Reglamento y las reglas.

CAPACITACIÓN

Las reglas amplían el estándar de los programas de capacitación y selección de personal.

  • Impartición de cursos o talleres: deberán realizarse por lo menos una vez al año.
  • Evaluación y consecuencias: se deben aplicar evaluaciones de conocimientos a los participantes y el Manual de Políticas Internas debe prever qué medidas se toman con quienes no obtengan resultados satisfactorios.

OTROS AJUSTES RELEVANTES

  • Deberá reforzarse y actualizarse el Manual de Políticas Internas conforme a lo dispuesto por la modificación a las reglas.
  • Se crea un procedimiento de alta específico para quienes prestan servicios de activos virtuales, adicional al trámite general.
  • Se precisan las reglas de acumulación y aviso para copropietarios en arrendamiento de inmuebles.

El acuerdo entrará en vigor, de manera general, el 30 de noviembre de 2026.

On August 7, 2026, the resolution amending the General Rules issued under the Federal Law for the Prevention and Identification of Transactions Involving Illicit Funds (the “LFPIORPI”) was published, applicable to those who carry out Vulnerable Activities. The amendment addresses details regarding the new obligations set forth in the LFPIORPI reform that entered into force on July 17, 2025, and significantly expands compliance obligations. The most relevant points are the following:

RISK-BASED APPROACH

A full chapter has been added requiring the design and implementation of an in-house methodology to assess the Risk of the activity, of Clients or Users, of transactions, and of distribution channels, which shall be subject to mandatory periodic review.

  • Risk Level classification: Obligated parties must classify their Clients or Users into at least low, medium, and high Risk, and must reassess the Risk Level at least every six months.
  • Applies before launching new products or services: any new modality, channel, or type of Client must undergo a Risk assessment before being rolled out.

KNOWLEDGE OF THE CLIENT OR USER

Persons carrying out Vulnerable Activities are required to establish and adhere to a customer and user due diligence policy, take into account each customer’s Transactional Profile, which must be assessed at least every six months, and implement an alert system that enables the monitoring and detection of changes in such Transactional Profile.

  • Enhanced monitoring measures are implemented for high-risk clients and Politically Exposed Persons (PEPs).

ULTIMATE BENEFICIAL OWNER (UBO)

The reform devotes a specific chapter to identifying the Ultimate Beneficial Owner, establishing a mandatory order of precedence and specific rules for trusts and legal structures.

  • Three-tier order of precedence: (i) an individual holding 25% or more of the capital stock; (ii) an individual exercising control through other means linked to management and decision-making; (iii) the individual or group of individuals holding the highest-ranking administrative or senior management position.
  • The identification procedure followed must be documented, and the supporting information, documentation, and records must be retained, kept up to date throughout the Business Relationship, and properly safeguarded.

AUTOMATED MECHANISMS

The rules more precisely define the functions these mechanisms must perform. Compliance must be verifiable to both the SAT and the UIF; it is not enough merely to have the mechanism in place. Its operation and traceability must be capable of being documented and evidenced at any time, and it must also incorporate the minimum mandatory functionalities set out in the rules.

AUDIT

Control measures must be maintained, including a review by an auditor, whether from the internal audit area or an independent external auditor.

Annual opinion: the auditor will evaluate and issue an opinion, for the period from January 1 to December 31 of each year, on the effectiveness of compliance with the Law, its Regulations, and the Rules.

TRAINING

The rules raise the standard for training and personnel selection programs.

  • Delivery of courses or workshops: must be conducted at least once a year.
  • Assessment and consequences: knowledge assessments must be administered to participants, and the Internal Policies Manual must set out the measures to be taken with respect to those who do not achieve satisfactory results.

OTHER RELEVANT CHANGES

  • The Internal Policies Manual must be strengthened and updated pursuant to the amendments to the Rules.
  • A specific registration procedure is created for virtual asset service providers, in addition to the general procedure.
  • The rules on threshold aggregation and reporting are clarified for co-owners leasing real property.

The resolution will generally enter into force on November 30, 2026.
